Transactions & Fulfillment: All binding contracts for sale, dispensing, payment processing, shipping, returns, and product liability are established directly between the Member’s clinic and the third-party supplier/pharmacy.

Pricing: Pricing displayed on Freely Health is a non-binding reference of the potential group rate. The final transaction price and terms will be confirmed on the supplier’s external ordering platform.

1. Nature of the Relationship (GPO Facilitator)

Freely Health operates strictly as a Group Purchasing Organization (GPO) facilitator. Our function is to aggregate the purchasing volume of our members (the Clinic) to secure negotiated pricing from third-party licensed suppliers and compounding pharmacies ("Vendors").

• Not a Pharmacy: Freely Health is not a licensed pharmacy, distributor, or seller of medical products.
• No Medical Advice: We do not offer medical advice, diagnose, or prescribe. All medical compliance, patient care decisions, and prescription validity are the sole responsibility of the ordering clinician.

2. Transactions, Fulfillment, and Payment

• No On-Site Transactions: Pricing displayed on Freely Health is for informational and budgetary purposes only. No financial transactions for medications or products are completed on joinfreely.com.
• Direct Sale: All sales, dispensing, payment processing, shipping, returns, and product liability are established directly between the Member’s Clinic and the Vendor via the Vendor’s dedicated ordering portal.
• Financial Responsibility: The Clinic remains solely responsible for all payments to the Vendor for orders placed through the Group Purchasing Program.

3. Confidentiality and Use of Products

• Confidentiality of Pricing: The pricing and discounts provided through this membership are proprietary. The Clinic agrees not to disclose, publish, or share these negotiated rates with unauthorized third parties, suppliers, or competitors. This is necessary to comply with vendor MAP (Minimum Advertised Price) policies.
• Own Use / No Resale: Products purchased through Freely Health are for professional medical use within the Member’s Clinic only. Resale to other wholesalers, distributors, or unauthorized third parties is strictly prohibited and will result in immediate termination of membership.

4. Member Attestation and Compliance

By applying for and using this service, the Member certifies that:

• All provided licensure (NPI, DEA, etc.) is active and in good standing.
• All products will be used in accordance with federal and state laws, including those regarding the handling of compounded medications and controlled substances.
